1. Acceptance of Terms

By accessing or using Planly ("the Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms constitute a legally binding agreement between you and MathsMind AI Ltd ("Company", "we", "us", "our"), a company registered in New Zealand.

Important: Please read these Terms carefully before using Planly. By creating an account, you confirm that you have read, understood, and agree to be bound by these Terms.

2. Description of Service

Planly is a family planning and organisation application that provides:

  • Calendar and event management
  • Task and chore tracking
  • Meal planning and grocery lists
  • Household member coordination
  • AI-powered summaries and recommendations
  • Financial tracking features

3. Account Registration

3.1 Eligibility

You must be at least 16 years old to create an account. By registering, you represent that:

  • You are at least 16 years of age
  • You have the legal capacity to enter into this agreement
  • The information you provide is accurate and complete

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised access

4. Subscription and Payment

4.1 Subscription Plans

We offer the following subscription options:

  • Free Plan: Basic features with limited functionality
  • Monthly Plan: USD $5/month with full features
  • Lifetime Plan: USD $100 one-time payment for lifetime access

4.2 Payment Terms

  • All payments are processed in US Dollars (USD)
  • Approximate prices may be shown in your local currency for convenience
  • Monthly subscriptions are billed in advance on a recurring basis
  • Payment is processed securely through Stripe
  • You authorise us to charge your selected payment method

4.3 Cancellation and Refunds

5. User Conduct

You agree not to:

  • Use the Service for any illegal or unauthorised purpose
  • Violate any laws in your jurisdiction
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorised access to any part of the Service
  • Upload malicious code, viruses, or harmful content
  • Harass, abuse, or harm other users
  • Impersonate any person or entity
  • Collect user information without consent
  • Use automated systems or bots to access the Service

6. Intellectual Property

6.1 Our Rights

Planly and all associated trademarks, logos, designs, text, graphics, and software are owned by MathsMind AI Ltd and are protected by New Zealand and international intellectual property laws.

6.2 Your Rights

You retain ownership of the content you create within Planly. By using the Service, you grant us a limited licence to store, process, and display your content solely for the purpose of providing the Service.

6.3 Restrictions

You may not:

  • Copy, modify, or distribute any part of the Service
  • Reverse engineer or attempt to extract source code
  • Remove or alter any proprietary notices or labels
  • Use our intellectual property without written permission

7. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information in accordance with the New Zealand Privacy Act 2020.

8. Disclaimers

8.1 Service Availability

We strive to provide a reliable service but do not guarantee:

  • Uninterrupted or error-free access to the Service
  • That defects will be corrected
  • That the Service will meet all your requirements

8.2 "As Is" Basis

To the maximum extent permitted by New Zealand law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Consumer Guarantees Act 1993: Nothing in these Terms affects your rights under the Consumer Guarantees Act 1993 or any other statutory rights that cannot be excluded.

9. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for any loss or corruption of your data

These limitations apply regardless of the legal theory on which the claim is based.

10. Indemnification

You agree to indemnify and hold harmless MathsMind AI Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights

11. Termination

11.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature in Settings.

11.2 By Us

We may suspend or terminate your access to the Service at any time if:

  • You breach these Terms
  • We are required to do so by law
  • We discontinue the Service

11.3 Effect of Termination

Upon termination:

  • Your right to access the Service ceases immediately
  • We may delete your account and data (subject to legal retention requirements)
  • Provisions that should survive termination will remain in effect

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Email to your registered address
  • Notice within the Planly app
  • Posting the revised Terms on our website

Your continued use of the Service after changes constitutes acceptance of the revised Terms.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of New Zealand courts.

13.2 Dispute Resolution

Before initiating legal proceedings, you agree to:

  1. Contact us to attempt to resolve the dispute informally
  2. Allow 30 days for us to respond and attempt resolution
  3. Consider mediation as an alternative to litigation

14. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect
  • Waiver: Our failure to enforce any right does not waive that right
  • Assignment: You may not assign your rights under these Terms without our consent
